These Terms of Use (“Terms”) govern your use of the Ministry Enterprises LLC (“MinistryHub”, “we”, “us”, or “our”) website where these Terms are placed (“MinistryHub Website”) and your relationship with MinistryHub. These Terms also document our data protection policy and the rights of individuals with which MinistryHub engages with respect to personal information.

Please read these Terms carefully as they affect your rights and liabilities under the law. You agree to these Terms if you use the MinistryHub Website or in any way engage with or contact MinistryHub. These terms also apply to any software, materials, data, or content, whether physical or electronic procured from the MinistryHub Website or through MinistryHub Services (collectively “MinistryHub Goods”). Use of MinistryHub Services and MinistryHub Goods 

We operate the MinistryHub Website to assist you with understanding and providing MinistryHub’s Goods and Services and in communicating with us. This website is provided for your personal use subject to these Terms.

Except where otherwise permitted in these Terms, you agree to the following restrictions:

  • You must be 13 years of age or older to use, view, browse, or post anything on the MinistryHub Website. By viewing the MinistryHub Website, you certify that you are over 13 years old.
  • You may not use The MinistryHub Website, MinistryHub Goods, or MinistryHub Services to harm MinistryHub or its employees or any other party.
  • You may not disseminate any material that is unlawful, harassing, libelous, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable or breaching any laws.
  • You may not transmit material that encourages conduct that constitutes a criminal offence or results in civil liability or otherwise breaches any applicable laws, regulations or code of practice.
  • You may not interfere with any other person's use or enjoyment of the MinistryHub Website, MinistryHub Goods, or MinistryHub Services.
  • You may not make, copy, transmit, modify, display, republish, create derivative works from, or store electronic copies of materials protected by intellectual property or other rights without the permission of the owner.
  • You may not use MinistryHub Goods or MinistryHub Services to violate any laws or in connection with illegal activities.
  • You may not attempt to reverse engineer, decrypt, disable, circumvent, or otherwise alter or interfere with MinistryHub Goods or MinistryHub Services or the security thereof.
  • You may not use automatic processes such as, but not limited to robots, software, spiders, or scripts, or any manual processes to scrape content from MinistryHub Goods, MinistryHub Services or the MinistryHub Website.
  • You may not use MinistryHub Goods or MinistryHub Services towards the development of any software or application or embedded in another website.

You will be responsible for losses and costs to MinistryHub resulting from your breach of these provisions or any of these Terms.

By submitting information to MinistryHub through the website or by any other means, you permit us to contact you in response to the information you provide. However, this does not create any obligation to provide you with any products or services.

If you represent, are employed by, or providing services for a search firm or similar job posting entity, you are prohibited from the following activities:

  • You shall not solicit employers or job candidates who are posted on the MinistryHub Website to redirect them to an alternate job posting board or alternative, competing platform or service.  
  • You shall not extend promotional offers to third-parties.
  • You shall not use MinistryHub’s platform, website, job board, database or any other MinistryHub Service or MinistryHub Good to curate job candidates for an alternate job posting board or entity.

Website Registration

In order to apply for a position or to access or receive job alerts you must register on the MinistryHub Website. If you register, you must ensure that the details provided by you on registration or at any time are correct and complete.

You must inform us immediately of any changes to the information that you provided when registering by updating your personal details in order that we can communicate with you effectively.

If you register to use the MinistryHub Website you will be asked to create a password. In order to prevent fraud, you must keep this password confidential and must not disclose it or share it with anyone. If you know or suspect that someone else knows your password you should notify us by contacting us immediately.

If MinistryHub has reason to believe that there is likely to be a breach of security or misuse of the MinistryHub Website, we may require you to change your password or we may suspend your account.

Registration on the MinistryHub Website constitutes your acceptance of our Terms and Privacy Policy [https://ministryhub.org/privacy-policy/].

Job Seekers

You assume the risk and responsibility regarding your interactions with potential employers. MinistryHub makes no representation or warranties and cannot guarantee any of the following:

  • The existence, accuracy, legality, or availability of any job advertised on the MinistryHub Website or subsequently provided by an employer that obtained your information on this website.
  • That any employer will ask to interview you, recruit you, or hire you.
  • That any employer, individual, or entity will keep confidential any of your information or data provided on the MinistryHub Website or directly to that employer.
  • The accuracy of the final terms and duration of any appointment obtained through the MinistryHub Website.

Job Posters

You must be at least eighteen (18) years of age or older to make purchases from the MinistryHub Website. All purchases, including but not limited to, job posting packages and job posting credits/subscriptions are final and nonrefundable. In the case a technical error is encountered, MinistryHub may, at its own discretion, consider providing a refund only if the issue is not resolved within 5 business days.

By submitting a job posting, you are granting MinistryHub a perpetual, royalty-free, transferable, sublicensable, non-exclusive, worldwide license to copy, display, reproduce, adapt, and modify your posting on the MinistryHub Website or other job posting boards and websites. By posting a job or engaging in MinistryHub’s services, you permit MinistryHub to use your name and logo on the MinistryHub Website or other MinistryHub materials, including but not limited to social media web pages and digital and print advertising. You further represent and warrant that you are authorized to provide MinistryHub with the rights and authority to use the job posting and that our use of the job posting will not violate any law, rules, or regulations, or infringe upon any individuals’ or entities’ rights including but not limited to their intellectual property, privacy, or publicity rights.

You are solely responsible and liable for the content you post. Your content must comply with all applicable federal, state, and local laws and regulations. You represent and warrant that the information and authority you provide MinistryHub and the information you post on the MinistryHub Website is truthful, accurate, legal, and does not contain any material protected by intellectual property or is otherwise illegal. 

We have the sole discretion to remove any job post which violates these Terms, is deceptive, misleading, inaccurate, immoral, illegal, obscene, offensive, fraudulent, harmful, defamatory, or in any other way may damage MinistryHub’s reputation, or violates any law or regulation. If your job posting is removed for any of the reasons above, we reserve the right to refuse any future job postings. You will not receive any credit or refund for a job posting removed for the reasons listed above. 

We cannot confirm the identity, background, qualifications, or any information provided to you by job candidates or by MinistryHub pertaining to any job candidates. You are responsible for your interactions with job candidates and assume the associated risks of employing job candidates found through the MinistryHub Website. 

Third-Party Links

By clicking on certain links on the MinistryHub Website you may be transferred to another website owned by a different company. Please be aware that their data privacy practices may differ from these practiced by MinistryHub. In that case you should consult the other websites' privacy policies. MinistryHub is not responsible for, and has no control over, information that is submitted to or collected by other companies or their websites.

Intellectual Property

All information incorporated within the MinistryHub Website is owned or licensed by MinistryHub. You may retrieve and display the content of the MinistryHub Website on a computer screen, store such content in electronic form on disk (but not any server or other storage device connected to a network) or print one copy of such content for your own personal, non-commercial use, provided you keep intact all and any copyright and proprietary notices. You may not otherwise reproduce, modify, copy or distribute or use for commercial purposes any of the materials or content on the MinistryHub Website without written permission from MinistryHub.

Limitation of Liability. 

THE TOTAL AGGREGATE LIABILITY OF MINISTRYHUB AND ITS MEMBERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, SUBSIDIARIES, CONTRACTORS, SUBCONTRACTORS, AGENTS, REPRESENTATIVES, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, THE “MINISTRYHUB PARTIES” AND EACH INDIVIDUALLY, A “MINISTRYHUB PARTY”) ARISING OUT OF OR FROM, OR RELATING TO, THIS AGREEMENT, REGARDLESS OF THE CIRCUMSTANCES OR NATURE OR TYPE OF CLAIM, INCLUDING WITHOUT LIMITATION CLAIMS ARISING FROM A PARTY’S NEGLIGENCE OR BREACH OF CONTRACT OR WARRANTY, OR RELATING TO OR ARISING FROM A GOVERNMENT OR REGULATORY ACTION, INVESTIGATION, ENFORCEMENT, OR FINE, SHALL NOT EXCEED THE AMOUNT OF THE FEES PAID BY YOU HEREUNDER DURING THE TERM DURING WHICH THE LIABILITY AROSE. 

IN NO EVENT WILL ANY MINISTRYHUB PARTY BE LIABLE FOR THE INTERRUPTION OR LOSS OF BUSINESS, OR ANY LOST PROFITS, SAVINGS, REVENUE, BUSINESS, OR GOODWILL, OR ANY INCIDENTAL, INDIRECT, CONSEQUENTIAL, PUNITIVE, SPECIAL, EXEMPLARY, OR SIMILAR SUCH DAMAGES (WHETHER OR NOT SUCH DAMAGES WERE REASONABLY FORESEEN). 

WHERE ANY LIABILITY HAS BEEN LIMITED IN THIS AGREEMENT, SUCH LIMITATION SHALL HAVE EFFECT TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

Warranty Disclaimer

EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS, THE MINISTRYHUB SERVICES AND MINISTRYHUB GOODS ARE PROVIDED “AS-IS” AND “AS AVAILABLE” WITH NO OTHER WARRANTIES OR REPRESENTATIONS, AND NO OBLIGATIONS OF REMEDY OTHER THAN THOSE SPECIFIED HEREIN. THE MINISTRYHUB PARTIES SPECIFICALLY DISCLAIM ALL OTHER WARRANTIES AND REPRESENTATIONS WITH RESPECT TO THE GOODS AND SERVICES, WHETHER EXPRESS, IMPLIED, STATUTORY, ORAL, WRITTEN, OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO: (i) THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, OR ACCURACY OF DATA, AND THOSE ARISING BY STATUTE OR OTHERWISE IN LAW OR FROM COURSE OF DEALING OR USAGE OF TRADE; AND (ii) ANY WARRANTY OR REPRESENTATION THAT THE SERVICES WILL BE FREE FROM ERROR OR UNINTERRUPTED, OR THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR ACHIEVE ANY INTENDED RESULT.

Indemnification

You agree to indemnify, defend, and hold harmless MinistryHub Parties from any and all claims, damages, obligations, liabilities, losses, costs, and expenses (including reasonable attorney’s fees and costs) arising out of, related to, or that may arise in connection with: (i) your violation of these Terms; (ii) your use of the MinistryHub Website or any of MinistryHub’s Services or MinistryHub’s Goods; (iii) content or information provided to you through use of MinistryHub’s website or MinistryHub’s Services; (iv) any actual or alleged breach of any representation, warranty, or covenant that you have made to us; (v) your violation of any third-party intellectual property rights, privacy rights, publicity rights, or any other rights; (vi) your violation of any applicable laws, rules, or omissions; (vii) you communications, interactions, or engagement with any job candidates or job posters; or (v) your acts or omissions.

Governing Law and Jurisdiction

All matters relating to the MinistryHub Website and these Terms of Use and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of North Carolina without giving effect to any choice or conflict of law provision or rule (whether of the State of North Carolina or any other jurisdiction).

Arbitration

Any dispute or claim relating in any way to your use of the MinistryHub Website will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. The Federal Arbitration Act and federal arbitration law apply to this agreement.

There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages), and must follow the terms of these Terms as a court would.

The arbitration will be conducted by the American Arbitration Association (AAA) under its rules, including the AAA's Supplementary Procedures for Consumer-Related Disputes. The AAA's rules are available at www.adr.org. Payment of all filing, administration and arbitrator fees will be governed by the AAA's rules. 

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION WE EACH WAIVE ANY RIGHT TO A JURY TRIAL. 

YOU ALSO AGREE THAT YOU OR MINISTRYHUB MAY BRING SUIT IN COURT TO ENJOIN INFRINGEMENT OR OTHER MISUSE OF INTELLECTUAL PROPERTY RIGHTS.

Waiver And Severability

No waiver by MinistryHub of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of MinistryHub to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.

Entire Agreement

These Terms and our Privacy Policy constitute the sole and entire agreement between you and MinistryHub with respect to the MinistryHub Website and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the MinistryHub Website.
